Terms of Service

1. Acceptance of Terms

By accessing this website (thinkaxispoint.click) or engaging Thinkaxispoint Consulting Co., Ltd. ("Thinkaxispoint", "we", "us", "our") for programming consulting, code review clinics, legacy refactoring advisory, or engineering team mentorship services, you ("Client", "User") agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a corporate entity, you represent that you possess the legal authority to bind that organization.

2. Scope of Consulting & Mentorship Services

Thinkaxispoint provides advisory consulting, pair programming guidance, architectural reviews, and developer coaching. Our services are structured to elevate internal engineering capabilities.

• Advisory Nature: Our guidance, review rubrics, and Architectural Decision Records (ADRs) are delivered as professional engineering recommendations. Ultimate authority over production deployments, infrastructure configurations, and software releases remains exclusively with the Client.
• No Staff Augmentation: Unless explicitly agreed in a bespoke Statement of Work (SOW), our consultants do not act as substitute feature developers or long-term operational administrators.
• Client Cooperation: Timely execution of mentorship depends on the Client providing necessary repository access, test environment availability, and scheduled team attendance.

3. Intellectual Property Rights

We respect proprietary intellectual property and maintain strict separation between client assets and general consulting frameworks:

• Client IP: The Client retains all exclusive rights, title, and ownership in its existing software repositories, proprietary business logic, schemas, and confidential trade secrets.
• Deliverables: Custom Architectural Decision Records, team onboarding documentation, and repository-specific test harnesses authored during the engagement become the Client's property upon full settlement of applicable fees.
• Consulting Methodologies: Thinkaxispoint retains ownership of its proprietary mentorship frameworks, diagnostic rubrics, workshop outlines, and generic pedagogical materials developed independently of the Client's codebase.

4. Confidentiality & Non-Disclosure

Both parties agree to hold in strict confidence all technical, business, and financial information disclosed during the course of any consulting engagement. Thinkaxispoint enforces stringent data isolation and local storage protection across all consulting hardware.

5. Invoicing, Payments & Taxes

All consulting retainers and fixed-scope clinic fees are quoted in New Taiwan Dollars (TWD / NT$) unless formally stated otherwise in writing. Payments must be remitted via bank wire transfer within fourteen (14) calendar days of invoice issuance. Taiwan Government Uniform Invoices (GUI) are issued in compliance with Ministry of Finance regulations.

6. Limitation of Liability

To the maximum extent permitted under applicable law, Thinkaxispoint Consulting Co., Ltd. and its practitioners shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data corruption, system downtime, or business interruption arising from the application of technical recommendations. In all cases, our aggregate financial liability shall not exceed the total fees paid by the Client to Thinkaxispoint under the specific Statement of Work during the three (3) months preceding the claim.

7. Governing Law & Jurisdiction

These Terms of Service and all related engagement contracts shall be governed by and construed in accordance with the laws of Taiwan (Republic of China). In the event of any dispute arising out of or in connection with these terms, the parties agree to submit to the exclusive jurisdiction of the Taiwan New Taipei District Court.
